Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and the entity you represent (“Customer,” “you,” or “your”) and Milliarium LLC, a Pennsylvania limited liability company (“Milliarium,” “we,” “us,” or “our”), governing your access to and use of Milliarium Portfolio Management and related websites, applications, and services (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you accept on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

The Service is a subscription-based, multi-tenant software application for portfolio and project management, including planning, baselining, change control, cost tracking, and earned-value and variance reporting. We may modify, enhance, or discontinue features at any time. The Service is provided for your internal business use only.

2. Eligibility & Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your registration information and for all activity under your account, including activity by your users (administrators, project managers, and team members you invite).
  • You are responsible for safeguarding credentials and for promptly notifying us of any unauthorized access. We are not liable for losses caused by unauthorized use of your account.
  • One organization workspace is created per account; you are responsible for your users’ compliance with these Terms.

3. Subscriptions, Trials, Billing & Taxes

  • The Service is offered on a recurring subscription basis billed per active seat. Fees, plans, and any introductory or “founding” pricing are described at sign-up or checkout.
  • Free trials, if offered, convert to a paid subscription unless cancelled before the trial ends.
  • Subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processor to charge your payment method on each renewal.
  • Except where required by law, all fees are non-refundable and are not pro-rated upon cancellation or downgrade. You will retain access through the end of the paid period.
  • Fees are exclusive of taxes; you are responsible for all applicable taxes other than taxes on our net income.
  • We may change pricing on renewal with prior notice. Price changes do not apply to a price-locked term while that lock is in effect.
  • Payments are processed by Stripe; we do not store full payment-card numbers.

4. Acceptable Use

You agree not to, and not to permit any user to:

  • use the Service in violation of any law or third-party right;
  • upload unlawful, infringing, or malicious content, or data you lack the right to use;
  • attempt to gain unauthorized access to the Service, other customers’ data, or underlying systems;
  • reverse engineer, decompile, scrape, or copy the Service except as permitted by law;
  • resell, sublicense, or provide the Service to third parties as a service bureau;
  • interfere with or disrupt the integrity or performance of the Service; or
  • circumvent usage limits, security, or access controls.

We may suspend or terminate access for violations of this section.

5. Customer Data & Ownership

As between the parties, you own all data you and your users submit to the Service (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, and improve the Service and as permitted by our Privacy Policy. You are solely responsible for the accuracy, quality, legality, and your right to use Customer Data, and for maintaining your own backups. We may create and use aggregated, de-identified data that does not identify you or any individual.

6. Our Intellectual Property

The Service, including all software, design, text, and content (excluding Customer Data), and all related intellectual-property rights, are and remain the exclusive property of Milliarium and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. No other rights are granted. Feedback you provide may be used by us without restriction or obligation.

7. Third-Party Services

The Service relies on third-party providers (for example, hosting, database, payment, and email providers) and may integrate with third-party products you choose to connect. We are not responsible for third-party products or services, and your use of them is governed by their terms. Integrations may change or be discontinued.

8. No Professional Advice; Accuracy Disclaimer

The Service provides planning, cost, earned-value, schedule, and variance calculations and reports as tools to assist you. THEY DO NOT CONSTITUTE PROFESSIONAL, FINANCIAL, ACCOUNTING, LEGAL, INVESTMENT, OR PROJECT-MANAGEMENT ADVICE. We do not warrant that any output, calculation, forecast, or report is accurate, complete, or suitable for any purpose. You are solely responsible for reviewing outputs and for any decision or action you take based on the Service, and you assume all risk arising from such reliance.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILLIARIUM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILLIARIUM AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND FORM AN ESSENTIAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You will defend, indemnify, and hold harmless Milliarium and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Customer Data, (b) your or your users’ use of the Service, (c) your violation of these Terms or any law, or (d) your infringement or misappropriation of any third-party right.

12. Term, Suspension & Termination

These Terms apply while you use the Service. You may cancel at any time through your account or by contacting us. We may suspend or terminate access immediately if you breach these Terms, fail to pay, or create risk or legal exposure for us. Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period following termination; export your data before cancelling. Sections that by their nature should survive (including 5–11 and 13–14) survive termination.

13. Changes to the Service or Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Changes are effective when posted unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in Chester County, Pennsylvania, and the parties consent to personal jurisdiction there.

15. General

  • Entire Agreement: These Terms, together with the Privacy Policy and any subscription agreement or order, are the entire agreement between the parties and supersede prior agreements on the subject.
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delays or failures due to causes beyond its reasonable control.
  • Notices: We may provide notices by email or through the Service.
